Capital Markets & Deal Accounting
Definition and preparation of financial disclosures
Necessary to complete capital market transactions (IPOs, public offers, public exchange offers, high-yield or hybrid issues), in particular:
- Consolidated financial statements, pro forma information, combined financial statements, key performance indicators, etc.
- Drafting of the financial sections of prospectuses, analyst presentations (historical business performance, projections, etc.)
- Project management for milestones in capital market transactions in conjunction with other players (banks, lawyers, communications agencies, etc.)
Resolution of complex accounting issues
Throughout the external growth cycle (acquisition, takeover, set-up of a joint venture, etc.), which notably involves:
- Anticipating and modeling the impact of an acquisition on key accounting and financial metrics
- Providing support with the negotiation and drafting of financial clauses in shareholder agreements or acquisition agreements
- Performing due diligence on accounts in conjunction with the Transaction Services teams
- Preparing pro forma information
- Drawing up opening balance sheets in conjunction with the Valuation teams
- Downstream financial integration: preparing processes and reporting documents for post-acquisition integrations, notably with the design of reporting packages, the harmonization of accounting policies and the preparation of the first set of consolidated financial statements (Day 1)
Preparation of accounting and financial reporting documents
Necessary to complete disposals, spin-offs (combined, consolidated and pro forma financial statements, etc.) to inform investors, the future buyers or for financing purposes
Project management
Accounting framework conversion (IFRS, US GAAP, etc.) and adoption of new standards (e.g. IFRS 15, IFRS 16, etc.)
Analysis and proposal of solutions
To complex contract-related accounting issues tied to the implementation of management packages, concession agreements, research and development partnerships, etc.
